1. Status of the Lawyer
Lawyers participate as independent professionals. Nothing creates employment, partnership, agency, or joint venture. The Lawyer acts in their own name and responsibility and complies with professional rules.
2. Definitions
- Introduced Client / Introduction: same as in Client Terms.
- Engagement: any agreement, mandate, paid consultation, invoice issuance, or commencement of work with an Introduced Client (oral/written; on/off Platform).
- Circumvention: any direct or indirect attempt to avoid Platform fees/commission, including off-platform contact exchange, off-platform meetings, or off-platform payment/contracting with an Introduced Client.
3. Role of LexMate
LexMate is a technology intermediary providing matching, communication tools, and payment facilitation via PSP.
LexMate is not a provider of legal services and is not party to the Client–Lawyer contract.
4. On-Platform Communication & Meetings (Mandatory)
The Lawyer must:
- keep all communications with Clients within the Platform,
- not request/share off-platform contact details in any form (including coded formats, images, attachments intended to convey contact details),
- conduct any introductory session (including any “free 15 minutes”) only via Platform scheduling/communication tools.
5. Non-Circumvention (12 months)
The Lawyer shall not engage, contract, or receive payment outside the Platform from any Introduced Client for twelve (12) months following Introduction, whether directly or indirectly (including via partners, colleagues, or third parties).
This obligation survives termination.
6. Fees & Commission (Event-Based, Not Outcome-Based)
Lawyers set their own fees independently. LexMate does not negotiate or influence Lawyer pricing.
LexMate’s commission is event-based and becomes due upon the formation of an Engagement with an Introduced Client.
Commission is not dependent on outcome, duration, satisfaction, or success of the legal matter.
Commission rate (e.g., 15–20%) and exact trigger mechanics may be specified in a separate schedule/order form displayed on the Platform, which forms part of this Agreement.
7. Payments and PSP (No Custody by LexMate)
Payments are processed exclusively via a licensed PSP.
Client funds are held/handled by the PSP, not LexMate. LexMate does not hold client money.
8. Penalties / Contractual Compensation for Breach (Proportionate)
In case of breach (including circumvention, off-platform payments, or contact exchange), LexMate may:
- terminate the Lawyer account immediately;
- withhold any unpaid commissions that are due;
- claim contractual compensation equal to the lost commission LexMate would have received absent the breach.
Compensation is strictly compensatory (no punitive damages).
9. Data Protection and Confidentiality
The Lawyer shall use Client data only for the purpose of providing legal services to that Client and apply appropriate security measures. The Lawyer acts as an independent data controller for processing within their own practice.
10. AI Disclaimer
AI features are assistive only. LexMate does not guarantee suitability or outcomes. The Lawyer remains fully responsible for their professional assessment and services.
11. Limitation of Liability (Liability Cap)
To the maximum extent permitted by law, LexMate’s total liability towards the Lawyer is limited to the total amount of fees/commissions actually paid by the Lawyer to LexMate during the twelve (12) months preceding the event giving rise to the claim.
12. Suspension & Termination
LexMate may suspend or terminate immediately for breach, without compensation. The Lawyer may terminate participation with notice (as specified on the Platform), but remains bound by non-circumvention obligations for the full applicable period.
13. Governing Law and Jurisdiction
Luxembourg law; exclusive jurisdiction Luxembourg courts.
